Robtrix Terms & Conditions

1. General & Scope
1.1. These Terms and Conditions (“Terms”) govern all quotations, purchase orders, custom manufacturing services, and component deliveries provided by Robtrix (“Company,” “we,” “our,” or “us”) through the platform robtrix.com.
1.2. By uploading technical drawings, submitting a Request for Quotation (RFQ), or placing a Purchase Order (PO), the customer (“Buyer”) accepts these Terms in full. Differing, conflicting, or supplementary terms of the Buyer shall not apply unless explicitly accepted by Robtrix in writing.
1.3. Our services are directed exclusively at commercial entities, businesses, and sole traders acting in their professional capacity (B2B). Consumer transactions are excluded.
2. Inquiries, Quotations & Order Formation
2.1. Submitting 3D CAD files, 2D technical drawings, or project parameters via robtrix.com constitutes a non-binding request for quotation.
2.2. Formal quotations issued by Robtrix are non-binding technical and price estimates valid for the timeframe stated on the specific quotation document.
2.3. A legally binding manufacturing contract is established only upon explicit written Order Confirmation issued by Robtrix or upon written acceptance of the Buyer’s formal Purchase Order by an authorized representative of Robtrix.
3. Custom Manufacturing & Production Execution
3.1. All components are custom-manufactured based on the digital assets, 3D CAD models, 2D technical drawings, material selections, and surface finish specifications supplied by the Buyer.
3.2. Robtrix executes manufacturing orders through its internal manufacturing network, including its dedicated production hub (Robtrix Precision, Ludhiana, Punjab, India). Robtrix acts as the direct Merchant of Record and sole contractual partner for the Buyer.
3.3. Unless explicitly stated otherwise on the approved 2D technical drawing, standard manufacturing tolerances shall conform to DIN ISO 2768 (Medium/Fine for machined parts, General tolerances for sheet metal).
3.4. In the event of any contradiction or discrepancy between a 3D CAD file and a 2D technical drawing provided by the Buyer, the 2D technical drawing takes precedence.
4. Intellectual Property, CAD Security & Confidentiality
4.1. All technical drawings, 3D CAD models, proprietary specifications, and design assets uploaded by the Buyer remain the exclusive intellectual property of the Buyer.
4.2. Robtrix maintains strict digital and operational safeguards to protect customer intellectual property. Technical files routed to production facilities for manufacturing or feasibility checks are automatically anonymized, stripping all client logos, company metadata, and corporate identifiers.
4.3. Both parties agree to maintain strict confidentiality regarding all non-public technical and commercial information shared during the quotation and production process.
5. Pricing, Invoicing & Payment Terms
5.1. All prices quoted on robtrix.com or in official commercial quotations are in Euros (€) unless specified otherwise and are net prices exclusive of applicable Value Added Tax (VAT), import duties, customs taxes, freight, and administrative handling fees.
5.2. Invoicing is executed directly by Robtrix (Austria).
5.3. Payment terms, including any required deposit or advance payment obligations for custom tooling and raw materials, are defined on the official quotation or invoice. Payments shall be made via bank transfer without deduction unless agreed otherwise.
6. Shipping, Custom Duties & Import Taxes (DAP Terms)
6.1. Unless explicitly agreed upon in writing (e.g., under DDP terms), all international component dispatches are delivered under DAP (Delivered at Place – Incoterms® 2020) to the delivery address specified by the Buyer.
6.2. Importer of Record: The Buyer acts strictly as the Importer of Record. All import customs declarations, customs duties, import VAT/GST, port storage charges, and local courier handling fees levied by customs authorities or freight forwarders (e.g., DHL, FedEx) are the sole responsibility of the Buyer.
6.3. Delivery schedules provided in quotations or order confirmations are estimated production lead times. Robtrix is not liable for dispatch or shipping delays caused by international customs holds, transit disruptions, or acts of force majeure beyond reasonable control.
7. Inspection, Defect Reporting & Warranty
7.1. The Buyer must inspect delivered components immediately upon receipt and report any visible defects, dimensional non-conformities, or quantity discrepancies in writing within 14 calendar days of delivery.
7.2. Defect notifications must include detailed inspection reports, dimensional logs, and photographic evidence demonstrating non-conformity with the agreed 2D technical drawings.
7.3. If components are proven non-conforming to the agreed specifications due to manufacturing errors, Robtrix shall, at its sole discretion, either:
- Re-manufacture and deliver compliant replacement parts free of charge within a reasonable timeframe; or
- Issue a credit note for the affected non-conforming items.
7.4. Warranty claims are excluded for defects resulting from faulty CAD files, incorrect material selection requested by the Buyer, improper handling, or unauthorized modifications made to the components after delivery.
8. Limitation of Liability
8.1. Robtrix is liable without limitation for intent or gross negligence under applicable law.
8.2. For slight negligence, Robtrix’s liability is strictly limited to foreseeable damages typical for the contract. Robtrix shall not be liable for indirect, incidental, or consequential damages, including operational downtime, production loss, lost profits, or third-party claims.
9. Governing Law & Jurisdiction
9.1. These Terms and all contracts formed between Robtrix and the Buyer are governed exclusively by the laws of Austria, excluding its conflict-of-law principles and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
9.2. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms or any supply contract is the competent court responsible for Robtrix in Austria.
